1. Ownership and Intellectual Property
Upon full payment, the client owns all website content created specifically for their site, including text, images,
and branding.
The website’s underlying code, design templates, and reusable components remain the intellectual property of
The Byte Shack. The client is granted a license to use these solely for their website.
Domains and hosting accounts are registered in the name of The Byte Shack unless otherwise agreed. The Byte
Shack retains control over these unless a domain transfer is requested and arranged.
2. Payment Terms and Cancellations
A non-refundable deposit of £50 is required before any work begins to cover initial costs.
Once the client is happy with the completed website, the remaining balance (full payment less deposit) must be
paid.
If the client cancels the project after work has started, the deposit will be retained and no refunds will be issued.
3. Ongoing Maintenance and Support
All websites are hosted via 123Reg, providing reliable hosting and domain management to minimise downtime.
The Byte Shack offers up to three small updates to the website per year at no extra cost.
Any additional or larger updates beyond these will be charged at £10 per hour. Whether an update is considered
‘small’ or ‘large’ is at the sole discretion of The Byte Shack.
4. Liability and Disclaimer
The Byte Shack strives to provide reliable, secure websites but does not guarantee 100% uptime or protection
against security breaches.
The Byte Shack is not liable for any loss, damage, or costs arising from website downtime, security incidents, data
loss, or other issues beyond its direct control.
Clients are responsible for backing up their own data and maintaining the security of their accounts.
In no event shall The Byte Shack’s liability exceed the total amount paid by the client for the website or services.
5. Content and Materials
The Byte Shack uses stock or licensed images for website creation as needed.
Clients are responsible for providing any images, logos, or text they wish to use and must ensure they have the
rights or permissions to use such materials.
The Byte Shack is not responsible for any copyright or intellectual property issues arising from client-provided
content.
6. Change Requests and Additional Work
Clients are welcome to request changes to their website at any time - whether that’s adding new features,
updating content, or removing something no longer needed.
Just send your request by email, and I’ll let you know if any additional costs apply before going ahead.
7. Content Restrictions
The Byte Shack reserves the right to refuse work on websites containing content that is illegal, offensive,
defamatory, or discriminatory.
The Byte Shack will not create websites promoting hate speech, violence, or any unlawful activities.
Clients are responsible for ensuring all website content complies with applicable laws and regulations.
8. Termination
The client may terminate the contract at any time with no further charges, but no refunds will be issued for work
already completed or deposits paid.
The Byte Shack reserves the right to terminate the agreement immediately if it reasonably believes the client’s
business or website is being used for unlawful activities.
9. Confidentiality and Data Protection
The Byte Shack is registered with the ICO and complies with GDPR regulations regarding data protection.
Client information and project details are kept confidential and are not shared with third parties.
Emails and data provided by clients are never passed on to others.
When a website contract is cancelled, client details are retained for 3 months before being securely deleted from
The Byte Shack’s systems.
10. Dispute Resolution
In the event of any dispute arising between the client and The Byte Shack, both parties agree to attempt to
resolve the matter amicably through direct negotiation.
If a resolution cannot be reached through negotiation, the parties may seek mediation before pursuing any legal
action.
These terms and conditions shall be governed by and construed in accordance with the laws of England and
Wales.
11. Non-Payment
If full payment for the website is not received within a period that I deem to be reasonable - whether the project is
fully completed or still undergoing updates - I reserve the right to suspend or withdraw services, restrict or
remove website access, and/or initiate recovery of the outstanding amount through legal or collection processes,
with all associated costs payable by the Client.
If the client fails to pay any yearly renewal fees or updates costs within 14 days, The Byte Shack reserves the right
to suspend access to the website and withhold any further work until payment is made in full.
Continued non-payment may result in termination of the contract, with the client remaining liable for all
outstanding fees.
The Byte Shack retains ownership of all work completed until full payment is received.
